Fcconsultancy cannot accept your order until you have returned a completed order form with applicable deposit.
Upon completion of your order form, fcconsultancy will confirm receipt of your order by phone, email or 'txt' message once your payment terms have been agreed.
Your order represents an offer to us to purchase the goods which is accepted by us when we contact you confirming acceptance of your order. A legally binding contract between us is created at the point of our acceptance of your order
Fcconsultancy reserves the right to choose not to accept your order for any reason,  at its discretion, and will not be liable to you or anyone else in those circumstances.
You may purchase standard modules via our online shop however payment can only be accepted by our paypal system.

2. Prices and Payment

All prices are in pounds (£) sterling. Prices may change at any time prior to (but not after) acceptance of your order. Fcconsultancy will only commence work on design after a completed order form and 10% payment has been made of the quoted project fee from the client, once the quoted project has been completed the remaining balance becomes due as per individual agreement. Fcconsultancy reserve the right to remove websites and supporting files if the client breaches any terms relating to the aforementioned individual agreements. Failure to pay invoices within agreed terms will result in a suspension of service and you may be liable to pay a penalty fee or the outstanding balance before services resume.

3. Hosting

fcconsultancy reserve the right to refuse to handle in any way, material which may be deemed offensive, illegal or in any way controversial, and also to terminate the hosting service should the necessity arise. Fees relating to hosting or domain names must be paid prior to the expiration date of the said service. If the fees remain unpaid at the time of expiration, we will with immediate effect, cancel said service and any data held by said service will be removed. If a cancelled service is to be reinstated at the client's request, a setup fee will be payable before any such reinstatement and any data lost as a result of the cancellation will not necessarily be restored. When a client renews “hosting” with fcconsultancy, this also includes domain renewal if the renewal is needed to keep the site functioning and was purchased as part of the hosting package. If the client does not renew the hosting, their domain name could be made available to the public for purchase and fcconsultancy cannot be held liable for this.

fcconsultancy cannot accept liability for losses caused by the unavailability, malfunction or interruption of this service, or for loss of turnover, sales, revenue, profits or indirect, consequential or special loss.

The hosting renewal charge must be received prior to the hosting expiry date. We reserve the right to deactivate any website where the hosting has expired and the client has not paid the renewal charge. There will be an admin fee set by fcconsultancy for reactivating the website / hosting.

If the client does not use fcconsultancy hosting services then the management and hosting of the domain name are the full responsibility of the client.

Renewal of “hosting” is due on a yearly basis. The date of renewal will be annually from the date the website was ordered by the client. The “hosting” will not be renewed if we cannot contact the customer or the customer requests for us to not host this site.
All images displayed on the client's website will only be used after authorisation by the client and are the sole responsibility of the client regarding usage and copyright. Should any legal issues or claims arise from the content or copyright of any images supplied by the client, they will be the sole responsibility of the client.  Fcconsultancy has no control of, or responsibility for, the content of our client's web sites. In no way does the textual or image based content of our client's web sites constitute fcconsultancy endorsement, or approval of the web site or the material contained within the web site. fcconsultancy has not verified any of the materials, images or information contained within our client's web sites and is not responsible for the content or performance of these sites or for the client's transactions with them. fcconsultancy provides links or references to our client's websites solely for the convenience of prospective customers and intends that the links it provides be current and accurate, but we do not guarantee or warrant that such links will point to the intended client site at all times.

4. General
fcconsultancy will not be liable to YOU where performance of any of our obligations to YOU is prevented or restricted by any circumstance or cause beyond our reasonable control.

You are responsible for the use You make of the goods. To the extent not prohibited by law, fcconsultancy accepts no liability for any loss which is not reasonably foreseeable or for any business loss (which includes loss of profits, contracts, goodwill, opportunity and other similar losses).

If any part of these Purchase Terms is found to be unenforceable as a matter of law, all other parts of these Purchase Terms shall be unaffected and shall remain in force.

These Purchase Terms and any contract between US shall be governed by and interpreted in accordance with English law and any dispute will be brought before the English Courts, unless YOU live in another part of the United Kingdom, in which case the applicable law of that part of the United Kingdom will apply and any dispute will be brought before the courts there.

We are required by law to inform You that sales can be concluded in English only and that no public filing requirements apply.

fcconsultancy may change these Purchase Terms at any time, provided that any such change will not affect any purchases YOU have made before the change is implemented. The Purchase Terms currently in effect are those published on this website.

5. SPST Licence restrictions

• You may NOT use, copy or modify the Software (including any related documentation) or any copy, in whole or in part, including any print-out of all or part of any database, except as expressly provided for in this Agreement.

• You may NOT translate, reverse engineer, decompile, disassemble, modify or create derivative works based on the Software, except as expressly permitted by the law of this Agreement.

• You may NOT vary, delete or obscure any notices of proprietary rights or any product identification or restrictions on or in the Software.

• Unless you purchase the additional relevant licences you may NOT other than for non-commercial purposes use the Software for any public performance, live broadcast or time delayed live broadcast where you are not present and interacting with the Software.

• You may NOT disseminate or make available to others your licence key which is personal to you. In the event that you encourage piracy or unlicensed use of this Software then you forfeit all rights to use the Software.

• Not for Resale copies (“NFR Copy”): Notwithstanding other sections of this licence, Software labelled or otherwise provided by fcconsultancy to you on a promotional basis may only be used for testing, demonstration and evaluation purposes and may not be used for any commercial or business purposes.

• Academic Copies: Software purchased at Educational pricing (“Educational Software”) may not be used for commercial or business purposes and may only be used by an eligible Educational End User by which is meant students, faculty, staff and administration attending and/or working at an educational institutional facility.

• Unless you have purchased a licence to use the Software or have been provided an NFR Copy by Licensor, you may NOT continue to use it beyond the 30 day evaluation period which commences on the date of first use by you of the Software, and in respect to each major release of the Software you are entitled to one evaluation period only, irrespective of the number of copies or downloads of the Software which you make. Any recordings or materials you create in this evaluation period with the Software are purely for your own evaluation purposes and you may NOT use them for any other purpose whatsoever unless or until you purchase the relevant licence.

• No transfer. The Software is licensed only to you. You may NOT rent, lease, sub-licence, sell, assign, pledge, transfer or otherwise dispose of the Software or licence key on a temporary or permanent basis otherwise the original and subsequent owners forfeit all rights to use the Software.

• All SPST sites are only licensed for use on fcconsultancy hosting services. Failure to renew software licenses after expiry date will render your SPST web site unusable.

• If your decide not to renew your site license static copies of your web site will be sent to you on CD including all data and images.

EXCLUSION OF LIABILITY

To the maximum extent permitted by law the Company excludes liability for any loss, claim, damages or any special, consequential, exemplary or punitive damages (whether directly or indirectly incurred) of any kind arising out of or in connection with any visitor's or user's access to, or use of the Website, or any material thereon, whether based in contract, tort or whether negligent or otherwise, even if the Company has been advised of the possibility of such damage.

This order constitutes an offer of  agreement between fcconsultancy and the named client. In the event of fcconsultancy not accepting said offer then all monies paid will be repaid in full to the the client. In the event of the client not completing the offer then all monies paid will be retained by fcconsultancy for expenses incurred in initiating said offer such as domain & hosting purchase.
